This TravelWits Participation Addendum ("Addendum") is entered into between Pickles Vacations, LLC d/b/a PTN Travel ("PTN") and the undersigned Independent Contractor ("Advisor").

This Addendum supplements the Independent Contractor Agreement currently in effect between PTN and Advisor. Except as specifically modified herein, all terms of the Independent Contractor Agreement remain in full force and effect.

1. Optional Participation

Participation in TravelWits is entirely voluntary and is not included in PTN's standard monthly or annual membership fees.

2. Subscription Fee

Advisor electing to participate in TravelWits agrees to pay a monthly subscription fee of Forty-Nine Dollars ($49.00) per month.

The TravelWits subscription fee is separate from all PTN membership fees and will be automatically charged to the payment method on file.

Advisor authorizes PTN to continue charging the payment method on file for recurring TravelWits subscription fees until Advisor provides written notice of cancellation pursuant to this Addendum.

Failed or declined payments may result in immediate suspension of TravelWits access until all outstanding amounts are paid in full.

PTN reserves the right to modify the TravelWits subscription fee upon thirty (30) days' written notice.

PTN reserves the right to modify, suspend, replace, or discontinue TravelWits access, features, integrations, or functionality at any time based on changes made by TravelWits or PTN's business requirements.

3. Initial Commitment and Cancellation

Advisor agrees to an initial participation period of ninety (90) days commencing on the date TravelWits credentials are issued, or access is activated, whichever occurs first.

Advisor acknowledges that the initial commitment period helps offset onboarding, training, implementation, and support costs associated with TravelWits access.

Following the initial ninety (90) day period, Advisor may cancel participation at any time with thirty (30) days' written notice to PTN. Written notice of cancellation must be submitted to PTN via the PTN support ticket or by email to support@ptntravel.com.

No refunds, prorated credits, or partial month refunds shall be issued for any TravelWits subscription fees already billed or paid. 

Upon cancellation, non-payment, suspension, or termination of Advisor's participation in TravelWits, Advisor will no longer have access to the TravelWits platform, including booking management, itinerary management, client-facing tools, and reservation servicing features. Advisor acknowledges that any existing bookings made through TravelWits must thereafter be managed directly with the applicable supplier or service provider, unless Advisor regains access to TravelWits or utilizes another authorized booking or servicing platform. PTN is not responsible for providing continued access to TravelWits for the purpose of managing existing bookings following the loss of Advisor's TravelWits access.

4. Access Requirements

Advisor shall maintain access to TravelWits only while:

• Remaining an active Independent Contractor affiliated with PTN;
• Remaining in good standing with PTN;
• Maintaining current payment of all PTN fees; and
• Maintaining current payment of all TravelWits subscription fees.

PTN reserves the right to limit participation, establish waiting lists, delay onboarding, or decline participation requests at its sole discretion.

PTN reserves the right to suspend or terminate TravelWits access for non-payment, violation of PTN policies, misuse of the platform, or any activity that PTN reasonably determines may expose PTN, TravelWits, VWT, suppliers, or clients to risk.

5. Advisor Responsibility

Advisor acknowledges and agrees that Advisor remains solely responsible for:

• All client communications;
• Reservation accuracy;
• Air, hotel, and car bookings;
• Ticketing decisions;
• Reservation servicing;
• Exchanges, cancellations, and modifications;
• Collection of planning fees and service fees;
• Compliance with supplier requirements;
• Compliance with PTN policies and procedures;
• Chargebacks, debit memos, commission recalls, supplier penalties, and client disputes arising from Advisor's bookings.

Nothing in this Addendum transfers responsibility for Advisor's bookings or client management to PTN. 

Advisor's use of TravelWits does not modify, replace, or supersede any PTN policies, procedures, supplier requirements, or obligations contained within the Independent Contractor Agreement.

6. Air Bookings and VWT Air Desk

TravelWits may provide access to Fly with VWT by Chase Travel ("VWT"), including online air-booking functionality and optional air-support services.

Advisor remains responsible for all client communications, itinerary review, booking verification, approvals, and overall management of the reservation.

Any service fees, exchange fees, group air fees, emergency service fees, or other charges assessed by VWT shall be the responsibility of Advisor unless otherwise approved by PTN. 

Advisor acknowledges that VWT service fees are subject to change and are determined by VWT. 

Advisor authorizes PTN to deduct any unpaid VWT-related fees from future commission payments or charge the payment method on file.

PTN serves solely as the host agency and facilitator of access to TravelWits and VWT services and shall not be liable for airline schedule changes, ticketing errors, fare rule disputes, supplier actions, service interruptions, or other matters arising from airline reservations or services provided through TravelWits or VWT.

7. Client-Facing Portal and Client Communications

TravelWits may provide Advisor with access to client-facing tools and portals, including but not limited to itineraries, proposals, quotes, communications, payment links, branding, recommendations, and other client-facing content.

Advisor acknowledges and agrees that Advisor is solely responsible for all information, communications, pricing, recommendations, branding, and content presented to clients through TravelWits or any related client-facing portal.

Advisor shall review all information, pricing, itineraries, recommendations, communications, and other content generated through TravelWits prior to delivery to clients and remains solely responsible for the accuracy and completeness of such information.

Advisor shall ensure that all communications and content delivered through TravelWits comply with PTN policies, supplier requirements, applicable laws, Seller of Travel requirements, and any required disclosures.

Advisor acknowledges that TravelWits may utilize automated tools, artificial intelligence, and third-party content sources. Advisor remains solely responsible for reviewing all itineraries, recommendations, pricing, descriptions, communications, and other content for accuracy prior to delivery to clients. PTN makes no representation or warranty regarding the accuracy or completeness of any automated or AI-generated content.

Advisor acknowledges that certain TravelWits features may be experimental, beta, or subject to change and may be modified, suspended, or discontinued without notice.

PTN does not create, review, monitor, approve, or guarantee the accuracy of information, pricing, supplier content, itineraries, recommendations, or communications delivered to clients through TravelWits or any related client-facing portal and shall not be liable for any errors, omissions, misunderstandings, or claims arising therefrom.

Advisor remains solely responsible for compliance with all applicable advertising, marketing, privacy, data protection, disclosure, and Seller of Travel requirements relating to materials delivered through the client-facing portal. Advisor is responsible for obtaining any client consents required by applicable law relating to information stored or transmitted through TravelWits.

Advisor shall maintain the confidentiality of client information and shall use commercially reasonable efforts to protect such information from unauthorized disclosure or access.

Advisor is solely responsible for all amounts charged to clients and for compliance with PTN policies and applicable laws relating to the collection of planning fees, service fees, or other payments through TravelWits or any related client-facing portal.

Advisor remains solely responsible for verifying and communicating all travel requirements, including but not limited to passport validity, visa requirements, entry requirements, health requirements, and supplier terms and conditions. Information displayed through TravelWits may not be complete or current.

Any communications delivered through TravelWits or any related client-facing portal shall be deemed communications from Advisor and not from PTN.

Advisor is solely responsible for the use of Advisor's logos, trademarks, images, and branding displayed through TravelWits and represents that Advisor possesses all necessary rights and permissions for such use.

Certain optional client-facing features and services offered through TravelWits may require additional fees payable directly by Advisor to TravelWits. Such fees are separate from PTN membership fees and the TravelWits subscription fee payable to PTN. Advisor acknowledges that any such fees, subscriptions, or related disputes are solely between Advisor and TravelWits. The availability, features, functionality, and pricing of such services are determined solely by TravelWits and may be modified by TravelWits without notice from PTN.

PTN makes no representations regarding the availability, portability, exportability, retention, or continued accessibility of data, itineraries, proposals, communications, or other content stored within TravelWits following termination of Advisor's access to TravelWits.

Nothing contained in this Addendum grants Advisor any ownership interest in TravelWits, VWT, or any related software, technology, data, intellectual property, or proprietary materials.

8. Third-Party Technology

TravelWits is a third-party technology platform.

PTN makes no representations or warranties regarding:

• Platform availability;
• System uptime;
• Booking functionality;
• Supplier content;
• Pricing accuracy;
• Search results;
• Booking confirmations;
• Data transmission;
• Third-party integrations; or
• Any other functionality of the TravelWits platform.

Advisor acknowledges that PTN is not responsible for outages, errors, delays, interruptions, system failures, or other issues arising from TravelWits or any third-party provider utilized by TravelWits.

9. Third-Party Service Providers

Advisor acknowledges that TravelWits, Fly with VWT by Chase Travel, airlines, global distribution systems, and other booking providers are independent third parties.

PTN does not control and is not responsible for the acts, omissions, pricing, availability, policies, system outages, booking errors, schedule changes, commission payments, or performance of any third-party provider.

10. No Guarantee of Commissions

Advisor acknowledges that the availability of commissionable fares, commission levels, supplier participation, and commission payments is determined solely by airlines, suppliers, and other third-party providers. PTN makes no guarantee regarding the availability, amount, collection, or payment of commissions resulting from the use of TravelWits, VWT, or any third-party provider.

11. Limitation of Liability

Advisor agrees that PTN shall not be liable for any losses, damages, costs, claims, supplier penalties, debit memos, chargebacks, lost commissions, client claims, or other liabilities arising from Advisor's use of TravelWits.

Advisor shall remain solely responsible for all actions taken using Advisor's TravelWits account

To the fullest extent permitted by law, PTN's total liability arising from this Addendum shall not exceed the TravelWits subscription fees paid by Advisor during the twelve (12) months preceding the event giving rise to the claim.

12. Termination of PTN Affiliation

If Advisor's Independent Contractor Agreement with PTN terminates for any reason, Advisor's access to TravelWits shall automatically terminate unless otherwise approved in writing by PTN.

Any outstanding TravelWits subscription fees remain due and payable.

PTN may suspend or terminate Advisor's participation in TravelWits independently of the Independent Contractor Agreement if PTN determines continued participation is not in the best interests of PTN, TravelWits, VWT, suppliers, or clients.

13. Entire Addendum

This Addendum supplements and forms part of the Independent Contractor Agreement between PTN and Advisor. In the event of a conflict between this Addendum and the Independent Contractor Agreement, this Addendum shall govern solely with respect to TravelWits participation. 

14. Service Fee Authorization

Advisor authorizes PTN to charge the payment method on file or deduct from future commissions any TravelWits subscription fees, VWT service fees, exchange fees, group air fees, emergency support fees, debit memos, chargebacks, supplier penalties, or other amounts incurred by Advisor through the use of TravelWits or VWT. This authorization shall survive termination of this Addendum and the Independent Contractor Agreement for any amounts incurred prior to termination.

15. Data Security and Credentials

Advisor is responsible for maintaining the confidentiality and security of their TravelWits login credentials and account access. Advisor shall be responsible for all activity occurring under their account.

Advisor shall comply with all PTN policies regarding client information, privacy, data security, and PCI compliance. Advisor shall immediately notify PTN of any unauthorized access, security breach, or suspected compromise involving their TravelWits account.
